These terms apply to use of the Ceresis Laboratory Supplies Ltd website and to purchases made through it. “Ceresis”, “we”, “us” and “our” mean Ceresis Laboratory Supplies Ltd. “Customer” means the person or organisation purchasing from us.

1. Our business

Ceresis Laboratory Supplies Ltd is based in North Northamptonshire, UK. Contact: hello@ceresislabsupplies.com and +44 (0) 7424 799522. Company number and VAT registration details will be added once confirmed.

2. Website use

You may use the website for lawful purchasing, enquiry and account purposes. You must not misuse the website, attempt to gain unauthorised access, interfere with its operation, introduce malicious code or use our content to mislead others.

3. Product information

We take reasonable care to describe products accurately. Product images may be illustrative and specifications, packaging, pack sizes, availability and manufacturers may change. Where a product specification is critical, customers should request confirmation before ordering.

4. Prices and VAT

Catalogue prices are shown in pounds sterling and, unless expressly stated otherwise, are exclusive of VAT for business purchasing. Applicable VAT and delivery charges are shown before an order is placed. Where a consumer purchase is permitted, the total price and applicable taxes will be made clear before the consumer is required to pay.

5. Quotes

Quotation requests are not orders. A quotation will state any validity period, quantities, delivery arrangements, payment terms and other conditions that apply. A quotation may be withdrawn before acceptance where stated or where circumstances outside our reasonable control materially affect supply or pricing.

6. Orders and acceptance

Submitting an order through the website is an offer to purchase. We may confirm, reject or clarify an order. A contract is formed when Ceresis confirms acceptance of the order, unless our written quotation or agreed account terms provide otherwise. We may contact you if a product, price, delivery arrangement or customer detail needs clarification.

7. Payment

Payment methods offered at checkout may include bank transfer and, for approved business customers, invoice terms. Card payments will only be accepted when an enabled payment service is presented at checkout. We will provide payment instructions with the order confirmation where required.

8. Net 30 business accounts

Net 30 terms are available only to approved business customers. Approval is subject to our credit assessment, credit limit and account terms. Invoices are payable by the due date stated on the invoice. We may suspend credit terms or require prepayment if an account exceeds its credit limit, has overdue invoices or otherwise falls outside its agreed terms.

9. Purchase orders

Where a customer requires a purchase order, the PO number should be provided at checkout or before order acceptance. A purchase order does not override these terms or an agreed quotation unless Ceresis expressly accepts the conflicting term in writing.

10. Delivery

Standard mainland UK delivery is free. We aim for standard delivery within 5 working days, although some products may take longer due to stock, manufacturer lead time, specialist handling, furniture, machinery or other circumstances. We will communicate material delays where reasonably practicable. International delivery is available only by prior arrangement and international shipping fees may apply.

11. Large equipment, furniture and project supply

Laboratory benches, furniture, machinery, specialist equipment and project requirements may require a quotation, site information, specialist delivery, installation or other agreed arrangements. Any such requirements will be set out in the relevant quotation or order confirmation.

12. Ownership and risk

For business sales, risk in goods normally passes on delivery unless the relevant quotation or written agreement states otherwise. Title to goods supplied on credit remains with Ceresis until the applicable invoice has been paid in full, to the extent permitted by law.

13. Returns and faulty goods

If goods are damaged, incorrect or defective, contact us promptly with the order reference and details. We will assess the issue and provide appropriate instructions. Certain goods may have special return conditions because of hygiene, contamination, bespoke manufacture, installation or handling requirements.

14. Consumer customers

These terms do not remove or restrict statutory rights that apply to consumers. Where consumer law applies to an online distance contract, consumers may have a 14-day cancellation period and other rights subject to statutory exceptions. Before placing a consumer order, the required pre-contract information and cancellation arrangements will be provided. Nothing in these terms excludes liability or rights that cannot lawfully be excluded.

15. Cancellation by Ceresis

We may cancel or decline an order where a product becomes unavailable, a material pricing or specification error is identified, payment or credit requirements are not met, delivery cannot reasonably be completed, or circumstances outside our reasonable control prevent supply. Where appropriate, we will contact the customer and refund sums paid for an order that we cannot fulfil.

16. Product warranties and manufacturer terms

Where a manufacturer warranty or service arrangement applies, we will pass relevant information to the customer. Nothing in these terms removes statutory rights or liability that cannot legally be excluded.

17. Liability

We do not exclude or limit liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or statutory consumer rights that cannot be excluded. Subject to that, business customers should ensure that products are suitable for their intended application and used in accordance with the manufacturer’s instructions. Any business liability limitations will be interpreted subject to applicable law and the specific contract.

18. Events outside our control

We are not responsible for delay or failure caused by events reasonably beyond our control, such as supplier disruption, transport disruption, severe weather, fire, power or communications failure, industrial action, government action or other comparable events. We will take reasonable steps to reduce the impact and keep customers informed.

19. Intellectual property

Website text, branding, graphics, design and other content belong to Ceresis or its licensors unless stated otherwise. You may view and use the website for legitimate purchasing purposes but may not reproduce or commercially exploit our content without permission.

20. Privacy

Personal information is handled in accordance with our Privacy Notice.

21. Complaints

If you have a complaint, contact hello@ceresislabsupplies.com. Please provide your order or quote reference where available. We will investigate and aim to resolve complaints reasonably and promptly.

22. Governing law

These terms are governed by the law of England and Wales, subject to any mandatory rights that apply to consumers or any other applicable legal requirements. Courts with appropriate jurisdiction will have jurisdiction over disputes, subject to any mandatory alternative jurisdiction rules.

23. Changes to these terms

We may update these website terms from time to time. The version in force at the time of an order will apply to that order, subject to any separate written quotation or contract terms agreed with the customer.
